By accessing or using AIR Cognite's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

AIR Cognite provides AI-powered agents for enterprise automation, including quote analysis, supplier sourcing, and inventory optimization. Our services are designed to augment your workforce with intelligent automation.

3. Account Registration

To use our services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use
• Be responsible for all activities under your account

4. Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Attempt to breach or test the vulnerability of our systems
• Interfere with or disrupt our services or servers
• Transmit malware, viruses, or harmful code
• Violate any applicable laws or regulations

5. Intellectual Property

All content, features, and functionality of our services are owned by AIR Cognite and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of your data but grant us a license to process it through our AI agents.

6. Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All payments are non-refundable except as required by law or as explicitly stated in these terms.

• Prices are subject to change with 30 days notice
• You are responsible for all applicable taxes
• Failed payments may result in service suspension

7. Service Level Agreement

We strive for 99.9% uptime for our services. Scheduled maintenance will be communicated in advance. Service credits may be available for extended outages as detailed in our SLA.

8. Data Processing

Our AI agents process your business data to provide insights and automation. We maintain strict data isolation between customers and do not use your data to train our models without explicit consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIR COGNITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless AIR Cognite from any claims, damages, or expenses arising from your use of our services or violation of these terms.

11. Termination

Either party may terminate this agreement with 30 days written notice. We may terminate immediately for cause, including violation of these terms. Upon termination, your access to services will cease and you must delete any downloaded materials.

12. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be notified via email or through our platform. Continued use after changes constitutes acceptance of the modified terms.

13. Governing Law

These terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
